Terms of Service

By accessing or using itmly at itmly.app, you agree to be bound by these Terms of Service. itmly is operated by Holy Schmitt Studios LLC. If you do not agree with any part of these terms, you may not use our service.

itmly is a structured data platform for tracking personal items. Users define custom schemas for any type of thing they own and use smart features to automatically fill in item details from text, URLs, or photos. Auto-generated data is provided as suggestions and should be verified by the user.

itmly also lets you share a collection publicly via a unique URL. You control which collections are shared and can revoke any share link at any time.

You must be at least 16 years of age to create an account and use itmly. By creating an account, you represent that you meet this age requirement. You are responsible for maintaining the security of your account and for all activities that occur under it. You must provide accurate information when creating your account. We reserve the right to suspend or terminate accounts that violate these terms.

You retain ownership of all content you upload to itmly, including item data, descriptions, photos, and metadata. By uploading content, you grant us a limited license to process, store, and display your content solely for the purpose of providing the service. We do not claim ownership of your data.

When you choose to enable sharing on a collection, you additionally grant itmly a license to display the shared content on publicly accessible URLs and in link previews (including OpenGraph metadata used by social media and messaging platforms) for as long as sharing remains enabled. You are responsible for ensuring you have the right to publish any content you choose to share publicly.

itmly uses automated processing to suggest item details, identify items from photos, and extract data from URLs. While we strive for accuracy, automated suggestions have limitations and may not always be correct. All auto-generated fields are clearly marked and should be reviewed before saving. We are not responsible for inaccurate suggestions, including estimated values.

Auto-generated monetary values (including estimated current value, depreciation, and appreciation figures) are provided for informational purposes only and should not be relied upon for insurance claims, resale pricing, tax filings, legal proceedings, or any other financial or legal purpose. Users are solely responsible for verifying the accuracy of all values and should consult qualified professionals for authoritative appraisals or valuations.

itmly offers a free tier and a paid Pro subscription. Pro is billed monthly at the rate displayed at the time of purchase. All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain Pro access until then. We do not offer prorated refunds for partial billing periods.

We reserve the right to change subscription pricing. Existing subscribers will be notified at least 30 days before any price increase takes effect.

You agree not to:

• Upload content that is illegal, harmful, or violates the rights of others
• Publicly share content you do not have the right to publish
• Use publicly shared pages to distribute spam, malware, or infringing material
• Attempt to reverse-engineer, scrape, or abuse the automated processing system
• Share your account credentials with others
• Use automated tools to submit requests beyond reasonable use
• Use the service for purposes other than personal item tracking and related sharing

Public item pages display outbound search links to third-party marketplaces (including but not limited to eBay, Amazon, Discogs, StockX, GOAT, Chrono24, KEH, B&H, and AbeBooks). itmly may participate in affiliate programs operated by these marketplaces, in which we earn a commission if you click a link and make a purchase. Our participation does not add any cost to your purchase and does not affect which marketplaces we route to. Where an affiliate relationship is active, a disclosure is shown on the relevant public pages.

itmly does not sell, fulfill, ship, or warrant any product listed on a third-party marketplace. Any transaction you enter into after clicking an outbound link is solely between you and that marketplace, governed by their terms. We are not responsible for product accuracy, availability, pricing, shipping, returns, or any disputes arising from third-party transactions.

Your use of itmly is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using itmly, you consent to the practices described in that policy.

The itmly service, including its design, code, and branding, is owned by Holy Schmitt Studios LLC. You may not copy, modify, or distribute any part of the service without our written permission. Your data remains yours — this clause covers only the service itself.

We strive to keep itmly available at all times but do not guarantee uninterrupted access. We may temporarily suspend the service for maintenance, updates, or unforeseen circumstances. We will make reasonable efforts to notify users of planned downtime.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, secure, or error-free, or that any auto-generated data will be accurate or complete.

itmly and Holy Schmitt Studios LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service. This includes, but is not limited to, loss of data, inaccurate auto-generated values, or service interruptions. Our total liability shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) fifty dollars ($50).

You agree to indemnify, defend, and hold harmless Holy Schmitt Studios LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the service; (b) your violation of these terms; (c) any content you upload to the service; or (d) your violation of any rights of a third party.

You may delete your account at any time. We may suspend or terminate your access to the service if you violate these terms. Upon termination, your data will be handled in accordance with our Privacy Policy.

We reserve the right to modify these terms at any time. We will notify users of material changes by posting the updated terms on this page and updating the “Last updated” date. Continued use of itmly after changes constitutes acceptance of the new terms.

Any dispute, controversy, or claim arising out of or relating to these terms or the service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Cook County, Illinois. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you and Holy Schmitt Studios LLC waive any right to a jury trial.

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Cook County, Illinois.
